Terms of Use

You agree to be bound by these terms and conditions (“Terms and Conditions”) by using or accessing the Lounge Access Reservation Service (“Lounge Access” “Reservation” or “Lounge Atlas”), or any applications or websites made available by IEG (called the “Service”).

Do not use or access the Service if you do not agree to be bound by all of these.

The Service is controlled, owned, and maintained by Information Engineering Group Inc, a Province of Quebec corporation (“IEG Inc.”). These Terms and Conditions affect your legal rights and obligations.

These Terms and Conditions are effective as of July 1st, 2021

1. Basic Terms

  1. You are at least 18 years of age and have the legal capacity to enter into these Terms and Conditions and use the Service.
  2. You must abide by dress code and other mandatory lounge policies, at the discretion of IEG Inc, the lounge operator, or third parties. Lounge policies, rules and conditions are available at https://www.avianca.com/co/en/experiencia/en-aeropuerto/avianca-lounges/
  3. IEG Inc. is not liable for any loss suffered by when refused admission or lounge use because you have not complied with the individual lounge’s terms and conditions.
  4. Lounge Access is strictly subject to you being in possession of a valid boarding pass and legitimate travel documentation and identification for the same day of travel.
  5. As a user of the service you will not sell, transfer, license, or assign your Lounge Access and Reservation rights to any other party or parties.
  6. Access the Service to make any fraudulent, speculative, or false Reservation, or any Reservation in anticipation of demand. IEG Inc. reserves the right to cancel all such prohibited Reservations for Lounge Access without notice and without liability.
  7. IEG Inc. strictly prohibits purchasing Lounge Access or creating a Reservation for another party other than yourself and associated guests, with the notable exception of organizations who are pre-authorized by IEG Inc. to create advanced Reservations on behalf of their clientele.
  8. Information provided by IEG Inc. (including lounge entry rules, policies, products, services, instructions, locations, hours, descriptions, pricing, etc.) may be inaccurate or may not be fully complete.
  9. You must not purchase lounge access and create Reservations with the Service through unauthorized means, including but not limited to, by using an automated device, script, bot, spider, crawler or scraper.
  10. You may not use the Service for any illegal or unauthorized purpose.
  11. You must not violate any laws, rules, and regulations whether international, provincial, federal, local and state in the use of the Service (including but not limited to, copyright laws)
  12. You are responsible for any activity that occurs through the Lounge Access/Reservation process conducted on the IEG website. You also represent that all information you provide or provided to IEG Inc. upon making a Reservation for Lounge Access and at all other times will be true, accurate, current and complete and you agree to update your information as necessary to maintain its truth and accuracy.
  13. You must not submit confidential information via the Service
  14. You must not impersonate, defame, abuse, harass, threaten, or intimidate other users of the Service.
  15. You are solely responsible for your conduct and any data and information submitted via IEG services and applications.
  16. You must not change, modify, adapt or alter the Service or change, modify or alter another website so as to falsely imply that it is associated with the Service or IEG Inc.
  17. You must not create or submit unwanted commercial or harassing communications (“spam”) to users of IEG Services at any time.
  18. You must not interfere or disrupt the Service, servers or networks connected to the Service
  19. You must not transmit any worms, viruses, spyware, malware, or any other code of a destructive nature.
  20. You may not inject content or code or otherwise alter or interfere with the way any IEG Inc. page is displayed or rendered in a user’s browser and/or device.
  21. You must not attempt to restrict another user from using the Service
  22. You must not encourage or facilitate violations of these Terms and Conditions or any other IEG Inc. terms.
  23. Violation of these Terms and Conditions may, in our sole discretion, result in restriction or termination of all or part of the Service effective any time, without notice to you, for any reason, including fraud or infringement of the Terms and Conditions or possibility of legal exposure for IEG Inc. We will have no responsibility to notify any third-party, including third-party providers of services, of any termination, restriction, or suspension of all or part of the Service.
  24. You acknowledge that your use of the service is at your own risk

2. Avianca Lounges Access

1. The Avianca Lounges access is a pass to enter VIP lounges determined by Avianca, and enjoy the services available in such lounges, such as food, soft drinks, liquors, rest zones, free internet, and comfort while waiting at the airport (depending on each lounge)

2. The acquisition of the Avianca Lounge access will be available in the sales channels determined by Avianca, which may change without prior notice. Prices, payment methods and sales channels can be consulted at https://www.avianca.com/co/en/experiencia/en-aeropuerto/avianca-lounges/

3. Avianca Lounge Access is valid for a single use, in the selected lounge, on the selected day (it must be the day of the flight, as the passengers must present their boarding pass at the reception of each VIP lounge).

4. All entry, stay and use of the services provided in the lounges, acquired through the Avianca Lounge Access, is subject to the Avianca Lounges Regulations, available at https://www.avianca.com/co/en/experiencia/en-aeropuerto/avianca-lounges/ , in which the client declares to know and undertakes to comply. Failure to comply with said regulation will have the consequences established therein.

5. Avianca Lounges Access is personal and non-transferable.

6. Customers must check the opening hours of the selected lounge prior to purchasing the Avianca Lounge access, since the VIP lounges may not be open during the operation of 100% of the flights. 7. Customers who want to purchase an Avianca Lounge access at lounge, their entry will be subject to the lounge’s occupancy

8. Customers who purchase an Avianca Lounge access, at the lounge, will not be able to request a refund, 5 minutes after entering the lounge.

9. Customers who have a round trip on the same day or who have a connection between two cities with the presence of Avianca VIP lounges (within 24 hours), will be able to purchase the Avianca Lounges access to the second lounge with a special price. This discount applies to customers traveling on Avianca flights and for own operated VIP Lounges. 10. Customers will be able to purchase Avianca Lounge access at the lounge, by redeeming miles. The miles to be discounted will depend on each lounge, customers can consult prices per lounge at https://www.avianca.com/co/en/experiencia/en-aeropuerto/avianca-lounges/

11. For customers who purchase the Avianca Lounge access at the lounge, through the redemption of miles, these will be deducted from the member´s account immediately.

12. Clients that purchase the Avianca Lounge Access through the redemption of miles can only request a refund before 5 minutes have passed after entering the VIP lounge.

3. General Conditions

1. You agree that use of the Service after the effective date of the terms constitutes your agreement. You should review these Terms and Conditions before using the Service.

  1. IEG Inc. reserves the right to refuse, modify, or terminate the Service, effective any time, without notice, for any reason, and without liability to you.
  2. Upon termination, all licenses and other rights granted to you as part of these Terms and Conditions will immediately cease.
  3. We reserve the right to alter these Terms and Conditions at any time, under our sole discretion. If the alterations constitute a material change to the Terms and Conditions, we will provide reasonable notice and will notify you via email. What constitutes a "material change" will be determined at our sole discretion, in good faith and using common sense and reasonable judgement.
  4. You agree that IEG Inc. is not responsible or liable for the conduct of any user, and that you are solely responsible for your conduct while using the Service.
  5. The Service may be directed from a website managed by a lounge operator or third-party containing content that we do not endorse or control. There may also be links from third party web sites or features or may be routed from another website. You expressly acknowledge and agree that IEG Inc. is in no way responsible or liable for any such third-party services, features, or websites.
  6. Your correspondence and business dealing with lounge operators and third parties through the service are solely between you and the lounge operator or third party.
  7. You agree that you are responsible for all data charges you incur through use of the Service.
  8. We prohibit crawling, scraping, caching or otherwise accessing any content on the Service via automated means.

4. Rights

  1. The Service is protected by copyright, trade secret and other laws, and as between you and IEG Inc.. IEG Inc. owns and retains all rights as part of the Service.
  2. You agree not to modify, copy, alter, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, services, or products obtained from IEG Inc..
  3. All copyrights, trademarks, trade names, logos, and service marks ("Marks") displayed on the Service are IEG Inc.’s property or the property of other third parties. You are not permitted to use these Marks without IEG Inc.’s prior written consent. IEG Inc.’s name and logo can not be copied or imitated, as well as any custom graphics as part of the Service.
  4. You hereby agree that IEG Inc. may place advertising and promotions on the Service, and it may not be identified as sponsored content.
  5. You acknowledge that the Internet may be subject to breaches of security, and submission of information may not always be secure,
  6. Except as otherwise described in the Service’s Privacy Policy and GDPR, as between you and IEG Inc., information submitted will be non-confidential and non-proprietary, and we will not be liable for use or disclosure of information.
  7. Although it is IEG Inc.’s intention for the Service to be available as much as possible, there will be occasions when the Service may be interrupted, including, without limitation, for scheduled maintenance or upgrades, for emergency repairs, or due to failure of telecommunications.

5. Terms Governing Purchase of Lounge Access from IEG Inc.

  1. The Service is the ability to purchase access to lounges and associated products either online as a pre-booked Reservation or onsite Reservation at lounge entry (if available). The Service is available on desktop web browsers, and on mobile devices. Use of this Service is governed by these Terms and Conditions, including any purchase by you from IEG Inc. (a “Transaction”) IEG Inc. is the owner and operator the Service.
  2. Information regarding pricing will be displayed for each lounge. These lounge prices are not set by IEG Inc., but the owners and operators of each lounge who use the Service.
  3. When you purchase a product using the Service, you agree to pay IEG Inc. the displayed price. IEG Inc. will then process the transaction through our payment processor.
  4. By using the Service and entering into a transaction, you acknowledge and agree that you are entering into an agreement with IEG Inc. to purchase Lounge Access or products, which will be rendered by the lounge owner. IEG Inc. is not liable to you for failure on the part of the lounge owner or operator to provide you access to the lounge, or to provide any additional services or ancillaries.
  5. You must abide by the Terms and Conditions, policies, and rules of each participating lounge location, and therefore the provision of Lounge Access provided by IEG Inc. does not guarantee access to the lounge. These may include additional terms and conditions not stated in these Terms and Conditions. Therefore, IEG Inc. is not liable for any loss suffered by when refused admission or lounge use because you have not complied with the individual lounge’s terms and conditions.
  6. All service fees and charges included as part of each transaction are non-refundable (unless specified in these Terms and Conditions)
  7. IEG Inc. reserves the right to not process or cancel your transactions through the Service, either at our sole discretion or at the direction of a lounge owner - effective any time, without notice, for any reason, and without liability to you.

8. IEG Inc. reserves the right to verify your identity and credentials before processing any transaction as part of the Service.

9. All disputes raised by you will be the responsibility of IEG, except for disputes relating to lounge services rendered by the lounge owner or operator.

10. IEG Inc. reserves the right to investigate disputed transactions or fees and may cancel your Reservation for Lounge Access and any transactions while reviewing the disputes.

11. You will have the ability to select your preferred transaction currency as part of the Service - you are solely responsible for all currency conversion fees incurred when processed.

12. To be eligible for a partial refund, you must follow the instructions outlined in your Reservation receipt to request a refund through the Service (“Manage my Reservation”) at least 24 hours before your scheduled lounge entry time

13. Basic information associated with the Reservation and Lounge Access may be updated through the Service (“Manage My Reservation”). You are solely responsible for the accuracy of said updates, and, IEG, LifeMiles, Avianca, and/or the Service Operator is not liable for any inaccuracies.

14. IEG, LifeMiles, Avianca, and/or the Service Operator is not responsible for the displayed services and information provided by lounge owners, operators, or third parties. Lounge owners and operators are solely responsible for providing the Service as advertised and marketed to you – including liabilities associated with the use of the lounge.

Disclaimer of Warranties

THE WEBSITE AND THE SERVICE ARE PROVIDED "AS IS”, AND "AS AND WHEN AVAILABLE" WITHOUT ANY WARRANTY, CONDITION, REPRESENTATION OR GUARANTEE OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ANY WARRANTIES RESPECTING TITLE, QUALITY, PERFORMANCE, ACCURACY, COMPLETENESS, OR TIMELINESS OF DATA, ALL OF WHICH IEG INC. HEREBY EXPRESSLY DISCLAIMS TO THE FULLEST EXTENT PERMITTED BY LAW.

IEG INC. MAKES NO REPRESENTATION ABOUT, OR ENDORSEMENT OF, ANY OF THE LOUNGES TO WHICH YOU MAY PURCHASE LOUNGE ACCESS VIA THE SERVICE, AND SUCH ACCESS IS PROVIDED BY IEG INC. ON AN “AS IS”, “AS AVAILABLE” AND “WITH ALL FAULTS” BASIS.

Limitation of Liability; Waiver

UNDER NO CIRCUMSTANCES WILL THE IEG INC. PARTIES BE LIABLE TO YOU FOR ANY LOSS OR DAMAGES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, FOR ANY DIRECT, INDIRECT, ECONOMIC, EXEMPLARY, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL LOSSES OR DAMAGES) THAT ARE DIRECTLY OR INDIRECTLY RELATED TO: (A) THE SERVICE; (B) THE IEG INC. CONTENT; (C) USER CONTENT; (D) YOUR USE OF, INABILITY TO USE, OR THE PERFORMANCE OF THE SERVICE; (E) ANY ACTION TAKEN IN CONNECTION WITH AN INVESTIGATION BY THE IEG INC. PARTIES OR LAW ENFORCEMENT AUTHORITIES REGARDING YOUR OR ANY OTHER PARTY’S USE OF THE SERVICE; (F) ANY ACTION TAKEN IN CONNECTION WITH COPYRIGHT OR OTHER INTELLECTUAL PROPERTY OWNERS; (G) ANY ERRORS OR OMISSIONS IN THE SERVICE’S OPERATION; OR (H) ANY DAMAGE TO ANY USER’S COMPUTER, MOBILE DEVICE, OR OTHER EQUIPMENT OR TECHNOLOGY INCLUDING, WITHOUT LIMITATION, DAMAGE FROM ANY SECURITY BREACH OR FROM ANY VIRUS, BUGS, TAMPERING, FRAUD, ERROR, OMISSION, INTERRUPTION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER LINE OR NETWORK FAILURE OR ANY OTHER TECHNICAL OR OTHER MALFUNCTION, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, LOSS OF DATA, WORK STOPPAGE, ACCURACY OF RESULTS, OR COMPUTER FAILURE OR MALFUNCTION, EVEN IF FORESEEABLE OR EVEN IF THE IEG INC. PARTIES HAVE BEEN ADVISED OF OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE, STRICT LIABILITY OR TORT (INCLUDING, WITHOUT LIMITATION, WHETHER CAUSED IN WHOLE OR IN PART BY NEGLIGENCE, ACTS OF GOD, TELECOMMUNICATIONS FAILURE, OR THEFT OR DESTRUCTION OF THE SERVICE). IN NO EVENT WILL THE IEG INC. PARTIES BE LIABLE TO YOU OR ANYONE ELSE FOR LOSS, DAMAGE OR INJURY, INCLUDING, WITHOUT LIMITATION, DEATH OR PERSONAL INJURY. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN NO EVENT WILL THE IEG INC. PARTIES TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES OR CAUSES OR ACTION EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100.00).

YOU AGREE THAT IN THE EVENT YOU INCUR ANY DAMAGES, LOSSES OR INJURIES THAT ARISE OUT OF IEG INC.’S ACTS OR OMISSIONS, THE DAMAGES, IF ANY, CAUSED TO YOU ARE NOT IRREPARABLE OR SUFFICIENT TO ENTITLE YOU TO AN INJUNCTION PREVENTING ANY EXPLOITATION OF ANY WEB SITE, SERVICE, PROPERTY, PRODUCT OR OTHER CONTENT OWNED OR CONTROLLED BY THE IEG INC. PARTIES, AND YOU WILL HAVE NO RIGHTS TO ENJOIN OR RESTRAIN THE DEVELOPMENT, PRODUCTION, DISTRIBUTION, ADVERTISING, EXHIBITION OR EXPLOITATION OF ANY WEB SITE, PROPERTY, PRODUCT, SERVICE, OR OTHER CONTENT OWNED OR CONTROLLED BY THE IEG INC. PARTIES.

BY ACCESSING THE SERVICE, YOU UNDERSTAND THAT YOU MAY BE WAIVING RIGHTS WITH RESPECT TO CLAIMS THAT ARE AT THIS TIME UNKNOWN OR UNSUSPECTED.

IEG INC. IS NOT RESPONSIBLE FOR THE ACTIONS, CONTENT, INFORMATION, OR DATA OF THIRD PARTIES, AND YOU RELEASE US, OUR DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM ANY CLAIMS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY CLAIM YOU HAVE AGAINST ANY SUCH THIRD PARTIES.

Indemnification

You agree that you will defend and indemnify IEG Inc. and its directors, employees, officers, agents and affiliates (collectively 'the indemnified parties') against and hold each indemnified party harmless from all liabilities, damages, losses, claims, suits, judgments, costs and expenses (including reasonable legal fees) for injury to or death of any person or damage to or destruction of any property arising out of the use of the Service by you or any other person accompanying you, except that such indemnification shall not extend to acts of gross negligence or willful misconduct by the indemnified parties.

Arbitration

EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE ARBITRATION SECTION, YOU AGREE THAT DISPUTES BETWEEN YOU AND IEG WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Time Limitation on Claims

You agree that any claim you may have arising out of or related to your relationship with IEG Inc. must be filed within one year after such claim arose; otherwise, your claim is permanently barred.

Governing Law & Venue

These Terms and Conditions are governed by and construed in accordance with the laws of the Province of Quebec, without giving effect to any principles of conflicts of law AND WILL SPECIFICALLY NOT BE GOVERNED BY THE UNITED NATIONS CONVENTIONS ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS, IF OTHERWISE APPLICABLE. For any action at law or in equity relating to the arbitration provision of these Terms and Conditions, the Excluded Disputes or if you opt out of the agreement to arbitrate, you agree to resolve any dispute you have with IEG Inc. exclusively in a provincial court of Quebec and to submit to the personal jurisdiction of the courts located in the Province of Quebec for the purpose of litigating all such disputes.

If any provision of these Terms and Conditions is held to be unlawful, void, or for any reason unenforceable during arbitration or by a court of competent jurisdiction, then that provision will be deemed severable from these Terms and Conditions and will not affect the validity and enforceability of any remaining provisions. IEG Inc.’s failure to insist upon or enforce strict performance of any provision of these Terms will not be construed as a waiver of any provision or right. No waiver of any of these Terms will be deemed a further or continuing waiver of such term or condition or any other term or condition. IEG Inc. reserves the right to change this dispute resolution provision, but any such changes will not apply to disputes arising before the effective date of the amendment. This dispute resolution provision will survive the termination of any or all of your transactions with IEG Inc..

Entire Agreement

These Terms and Conditions and any other notices or statements posted on the Service constitute the entire agreement between you and IEG Inc. with respect to the use of the Service and these Terms and Conditions supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and IEG Inc. with respect to the Service.

Territorial Restrictions

We reserve the right to limit the availability of the Service or any portion of the Service, to any person, geographic area, or jurisdiction, at any time and in our sole discretion, and to limit the quantities of any program, product, service or other feature that IEG Inc. provides.
